The conditions governing access to and use of KMG’s public website and institutional information.

These terms apply to your use of the Kitivo Mercantile Group website. They distinguish KMG’s public corporate information from the separately negotiated contracts, specifications and responsibilities that govern an actual physical commodity transaction or advisory engagement.

01 · Scope

Acceptance and permitted access.

By accessing or using this website, you agree to these terms and the Privacy Notice. If you do not agree, you should discontinue use of the website.

This website is operated by Kitivo Mercantile Group, referred to as “KMG”, “we”, “us” or “our”. KMG may update these terms by publishing a revised version on this page. The effective date identifies the current version.

02 · Public information

Information, not an offer.

The website provides general information about KMG, its operating model, areas of focus and potential capabilities. It is not an offer, quotation, confirmation, recommendation, prospectus, solicitation or commitment to enter any transaction.

References to commodities, origins, corridors, standards, Incoterms, market access, sourcing capability, logistics, monitoring, beneficiation or advisory services are illustrative. Availability, specification, volume, pricing, route, timing, compliance requirements and KMG’s role are confirmed separately for each proposed mandate.

Nothing on this website constitutes legal, tax, investment, financial, technical, geological or other professional advice. Market and commodity information can change without notice and should be independently evaluated.

03 · Transactions

Commercial relationships require written agreement.

No enquiry, website submission, meeting, preliminary discussion or exchange of information creates a binding obligation, agency, partnership, fiduciary relationship, exclusivity arrangement or duty to transact.

A physical trade, advisory engagement or operating relationship arises only when authorised parties execute definitive written agreements. Those agreements, including their specifications, Incoterms, payment terms, risk allocation, compliance conditions and dispute provisions, prevail over the website and any preliminary communication.

Protect transaction securityKMG will not confirm or amend banking instructions through the public website. Counterparties should independently verify sensitive instructions through an established, authorised communication channel.
04 · Ownership

Intellectual property.

Unless otherwise identified, KMG owns or is authorised to use the website’s branding, logo, design, layout, text, graphics, photographs, video, documents and other content. These materials are protected by applicable intellectual-property law.

You may view, download or print reasonable extracts for legitimate internal evaluation of KMG. You may not reproduce, modify, distribute, republish, scrape, sell, license, create derivative works from or commercially exploit website content without prior written permission.

Third-party names, marks and materials remain the property of their respective owners. A reference to a standard, organisation, market or third party does not imply membership, endorsement or affiliation unless KMG states this expressly.

05 · Conduct

Acceptable use.

You must not use the website to:

  • Break applicable law or facilitate fraud, corruption, sanctions evasion or other unlawful conduct.
  • Submit false, misleading, abusive, defamatory or unauthorised information.
  • Impersonate another person or misrepresent an organisation, authority or mandate.
  • Introduce malicious code, interfere with security controls or attempt unauthorised access.
  • Harvest information, conduct automated high-volume submissions or disrupt availability.
  • Use KMG’s identity or content to suggest an unauthorised relationship or endorsement.

KMG may restrict access, reject submissions and take appropriate action where misuse or security risk is identified.

06 · External services

Third-party websites and services.

The website may link to external standards, regulators, service providers or other third-party resources. Links are provided for convenience and context. KMG does not control and is not responsible for third-party content, security, availability or privacy practices.

Any engagement with a third party is governed by the terms agreed with that party. Users should conduct their own assessment before relying on an external resource.

07 · Risk allocation

Availability, accuracy and liability.

KMG aims to keep public information accurate and current, but the website is provided on an “as available” basis. To the extent permitted by law, KMG does not warrant that the website will be uninterrupted, error-free, secure or suitable for a particular purpose.

KMG may change, suspend or withdraw website content without notice. Users remain responsible for verifying information before acting on it and for protecting their own systems and data.

To the extent permitted by applicable law, KMG is not liable for indirect, consequential or special loss arising from access to, inability to use or reliance on the public website. Nothing in these terms excludes liability that cannot lawfully be excluded.

Governing law and contact.

Subject to mandatory applicable law, these website terms are governed by the laws of the United Republic of Tanzania. Disputes concerning use of the website are subject to the jurisdiction of the competent courts of Tanzania.
